Risk disclaimer
Last updated:
Investing in early-stage companies is high risk. Please read these warnings carefully before considering any investment with or alongside Sheba Ventures.
Template notice: this document is a professional template provided for convenience and must be reviewed by a qualified solicitor before it is relied upon.
Capital at risk
Don't invest unless you're prepared to lose all the money you invest. This is a high-risk investment and you are unlikely to be protected if something goes wrong.
1. Not investment advice
Nothing on this website constitutes investment, legal, tax or financial advice, or a personal recommendation. Sheba Ventures Ltd does not assess the suitability of any investment for you. You should seek independent advice from an appropriately authorised professional before making any investment decision.
2. Not an offer
Information on this website is not an offer or solicitation to buy or sell any security, fund interest or other investment. Any investment opportunity will be made only on the basis of the relevant offering documents and only to eligible investors.
3. Eligible investors only
Investment opportunities are available only to persons in the United Kingdom who are certified high net worth individuals, certified or self-certified sophisticated investors, or investment professionals, within the meaning of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005, and to other persons to whom they may lawfully be communicated. They are not directed at retail investors, and any investment activity is available only to eligible persons.
4. Key risks of early-stage investing
- Loss of capital: most early-stage companies fail. You may lose all the money you invest.
- Illiquidity: shares and fund interests in private companies are hard to sell. You may not be able to access your money for many years, if at all, and there is no public market.
- Lack of dividends: early-stage companies rarely pay dividends; any return is likely to depend on a sale or listing of the company.
- Dilution: future funding rounds may reduce your percentage ownership and may be issued on terms more favourable to new investors.
- Emerging-market risks: companies operating in emerging and frontier markets may face additional political, regulatory, currency, legal and infrastructure risks.
- Currency risk: where investments are made or valued in currencies other than sterling, exchange-rate movements may reduce returns.
- Diversification: you should invest only a small proportion of your investable assets in early-stage companies, as part of a diversified portfolio.
- No FSCS protection: investments in unlisted companies and venture funds are generally not covered by the Financial Services Compensation Scheme.
5. Past performance and forward-looking statements
Past performance is not a reliable indicator of future results. Any projections, valuations or forward-looking statements are based on assumptions that may prove incorrect, and actual results may differ materially.
6. Tax
Tax treatment depends on your individual circumstances and may change. Any references to tax reliefs (such as EIS or SEIS) are general, and the availability of relief depends on the investee company maintaining its qualifying status.
7. Portfolio information
Information about portfolio companies on this website is provided for illustration and may not be complete or current. It should not be relied upon as a basis for any investment decision.
